Terms of Service

These Terms of Service (the “Terms”) govern your use of the Spoken Alpha website, trading product, and API (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. The Service is operated by Spoken Alpha, a sole proprietorship (“we”, “our”).
1. Eligibility
You must be at least 18 years old and able to form a binding contract under applicable law. The Service is intended for institutional and professional users; consumer use is at your own risk.
2. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the underlying source code or models, except as expressly permitted by law.
- Resell, sublicense, or redistribute the Service or its outputs in bulk, except as expressly permitted in writing.
- Use the Service to violate any law, infringe any third party's rights, or transmit unlawful or harmful content.
- Probe, scan, or test the vulnerability of the Service, or circumvent any security or rate-limiting measures.
- Use automated means to access the Service in excess of documented API rate limits.
- Use the Service if you are an individual or entity subject to economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), or on behalf of any such individual or entity.
- Use the Service in furtherance of money laundering, financial fraud, market manipulation, or evasion of securities, commodities, or banking laws.
3. Not investment advice
The Service produces signals, scores, and analytics derived from earnings-call transcripts and related data. The Service is not investment advice and is not a recommendation to buy, sell, or hold any security. You are solely responsible for any trading or investment decisions you make. Past performance does not predict future results.
4. Intellectual property
We retain all right, title, and interest in and to the Service, including all software, models, scoring methodology, and aggregated outputs. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of any data you provide to us.
5. Fees, billing, and cancellation
The Service is offered on subscription tiers (Free, Starter, Pro, Enterprise) and a pay-per-call option (x402 at $0.02 per request). Current pricing is published at spokenalpha.com/pricing. Billing is processed by Stripe on our behalf.
Subscription billing. Subscriptions are billed monthly in advance. Upgrades take effect immediately and are pro-rated for the remainder of the billing period. Downgrades take effect at the start of the next billing cycle. Free tiers have no charge and require no payment method.
Overages. API calls beyond your monthly quota return 429 Too Many Requests on the Free tier (hard cap). On paid tiers, overage behavior (hard cap or metered overage billing) is disclosed in your subscription agreement or tier description. Quotas reset on the first of each calendar month UTC.
Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no refunds are issued for the unused portion of a prepaid period. Your API key remains active until period end. On the Free tier, there is nothing to cancel.
Failed payments and suspension.If a payment fails, we will retry per Stripe's dunning schedule. Accounts that remain past-due after the retry period may have API access suspended until the balance is resolved. We will attempt to notify you by email before suspension.
We may change pricing or feature availability with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance.
6. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Indemnification
You agree to defend and indemnify us against any third-party claims arising out of your use of the Service in violation of these Terms or applicable law.
9. Termination
We may suspend or terminate your access to the Service at any time for breach of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.
10. Governing law and dispute resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Kings County, New York, and judgment on the award may be entered in any court of competent jurisdiction. Each party waives the right to a jury trial and to participate in a class action. Either party may seek injunctive relief in a court of competent jurisdiction for protection of intellectual property or confidential information.
11. Changes to these Terms
We may revise these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after a change constitutes acceptance.
